Terms of Service

1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of BusyBee's Slack application, website, and dashboard (the "Service"). By installing, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.
The Service is offered by Orem Data, LLC, DBA BusyBeeApp("BusyBee", "we", "us", "our").
If you do not agree to these Terms, do not use the Service. Our Privacy Policy explains how we handle personal data and is incorporated into these Terms by reference.
2. Eligibility and authority
You must be old enough to enter a binding contract in your jurisdiction and not barred from using the Service under applicable law. The Service is not directed to children under 13.
You must have authority to connect Slack and Google accounts you link to the Service and to authorize BusyBee to access those services on the terms you accept with Slack and Google. You are responsible for complying with Slack's and Google's applicable terms and policies.
3. Accounts and authentication
Access to the Service is tied to Slack installation and, where you use it, Google OAuth and our web dashboard. You are responsible for safeguarding credentials for those accounts and for activity under your workspace. Disconnecting Google or removing the Slack app may limit or stop features from working.
4. Acceptable use
You agree not to:
- Violate applicable law or infringe others' rights.
- Probe, scan, or test vulnerabilities, or breach or circumvent security.
- Interfere with or overload the Service or third-party systems (for example Slack or Google APIs) in a way that harms availability or violates their policies.
- Reverse engineer, decompile, or attempt to extract source code from the Service except where such restrictions are prohibited by law.
- Misuse integrations or automate behavior prohibited by Slack, Google, or other providers you connect.
- Use the Service to send spam, malware, or unlawful content.
5. Free trial
We may offer a free trial (for example, 14 days from first install) as described on our website or in the product at the time you sign up. Trial length and whether a payment method is required are as stated at signup or checkout. When a trial ends, continued use of paid features may require an active paid subscription unless we offer a free tier.
6. Fees, billing, and subscriptions
Paid plans and current pricing are shown on our website or in-app when you subscribe. Payments are processed by Stripe (or another processor we designate). We do not store full payment card numbers on our servers.
By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis for the plan you select. Unless you cancel before renewal, subscriptions renew automatically for successive periods of the same length.
If payment fails, we may suspend or downgrade paid features after notice where practicable.
7. Cancellation and refunds
You may cancel your subscription through the billing flows we provide (for example Stripe Customer Portal or in-product links). Cancellation stops future renewals; you typically retain access through the end of the current paid period unless we state otherwise.
Except where required by law, fees are non-refundable for partial periods. We may issue refunds at our sole discretion (for example duplicate or accidental charges).
8. Fee changes
We may change subscription fees or introduce new fees with reasonable advance notice. If you do not agree, you may cancel before the change takes effect. Continued use after the effective date may constitute acceptance of the new fees.
9. Data and privacy
Use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that we may access and process data as described there, including reading Google Calendar as authorized and updating Slack profile or related settings you configure.
10. Intellectual property
BusyBee and its licensors own the Service, including software, branding, and documentation, subject to any open-source components we use under their licenses. These Terms do not grant you any ownership rights. You may not copy, modify, distribute, sell, or lease our proprietary parts except as allowed by law or with our written permission.
11. Feedback
If you provide suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service without obligation to you, except where prohibited by law.
12. Service changes and availability
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service depends on Slack, Google, Stripe, Vercel, Railway, and the internet; outages or changes by those parties may affect BusyBee. We may modify, suspend, or discontinue features or the Service with reasonable notice where practicable.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SLACK STATUS WILL ALWAYS MATCH YOUR CALENDAR, THAT UPDATES WILL BE INSTANT, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSYBEE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ZERO IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
15. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless BusyBee and its affiliates, officers, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of third-party rights.
16. Termination
You may stop using the Service at any time by removing the Slack app and discontinuing use of the dashboard. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or we are required to do so by law. Provisions that by their nature should survive (including Sections 10, 13–15, and 17–20) survive termination.
17. Governing law and disputes
These Terms are governed by the laws of the State of Utah, USA, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Utah, and you consent to jurisdiction and venue in those courts.

18. Assignment
You may not assign or transfer these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
19. Severability and waiver
If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.
20. Entire agreement
These Terms, together with the Privacy Policy and any supplemental terms we present at purchase or for specific features, are the entire agreement between you and BusyBee regarding the Service and supersede prior oral or written understandings on the same subject.
21. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and update the "Last updated" date. For material changes, we may provide additional notice (for example by email or in Slack). Continued use after the effective date constitutes acceptance unless applicable law requires otherwise.
